"TIME TO SHINE" CONTEST
OFFICIAL RULES

RESIDENTS OF IA, MD, ND, AND VT MAY ENTER WITHOUT PROOF OF PURCHASE.

1. PROGRAM DESCRIPTION: The "Time to Shine" Contest (the "Contest"), sponsored by Sunny Delight Beverages Co. ("Sponsor") provides an opportunity for entrants to write an essay of 100 words or less, describing a real-life shining moment involving a child in their family. Proof of purchase code from eligible SunnyD product required (excluding residents of IA, MD, ND, and VT). Entries will be judged based on the criteria set forth in Section 8 below.

2. ENTRY DATES: The Contest begins on January 4, 2010 at 12:00:01 AM Eastern Time ("ET") and ends on July 4, 2010 at 11:59:59 PM ET (the "Entry Period"). For the purposes of determining the Monthly Winners, entries will be divided into Monthly Entry Periods as follows, where each period begins at 12:00:01 AM ET on the first day of the period, and ends at 11:59:59 PM ET on the last day of the period:

3. ELIGIBILITY: The Contest is open to any individual who is: (a) 18 years of age or older at the date of entry; and (b) a legal resident of (and residing at the time of entry in) one of the 50 United States or the District of Columbia. Employees, officers, directors and agents of Sponsor, MatchPoint Marketing LLC ("Administrator"), Sharon’s Rose Inc, Martina McBride, and Creative Artists Agency, the respective parent, subsidiary and related companies of each, and other companies associated with the promotion and operation of the Contest, (collectively, the "Contest Parties") as well as the immediate family (spouse, parents, siblings, and children) and household members of each such person are not eligible to enter or win. The Contest is subject to federal, state, and local laws and regulations and is void where prohibited by law.

4. AGREEMENT TO OFFICIAL RULES: Participation in the Contest constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Contest Parties and judges, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein. Any entrant may be disqualified at Sponsor’s sole discretion if he/she fails to comply with any of the terms of these Official Rules.

5. HOW TO ENTER: Log on to www.sunnyd.com (the "Website") during the Entry Period and provide requested information to access the official entry form, including a proof of purchase code from a participating SunnyD product (residents of IA, MD, ND, and VT will not be required to provide a proof of purchase code). Once you have accessed the entry form, write an original essay of no more than 100 words which describes a real-life "shining moment" involving a child in your family who is 17 years of age or younger as of the date of entry, and follow instructions to provide further required information and submit your Entry. Refer to Rules 6-7 below for more details regarding the requirements for your Entry. You may enter more than once, however each Entry must be different and must comply with these Official Rules. Duplicate Entries will be void. As part of your Entry, if the essay references your child, you may also submit a digital/digitized photograph of your child by following the instructions on the entry form. You may only submit a photograph if you are the parent/legal guardian of the child referenced in your essay, and if your child is the only recognizable person in the photograph. Photographs will not be included in the judging process, but may be posted in a gallery at the Website. Entrants who submit a photo will be required to agree to an additional photographic release as a condition of submitting a photo. Entries must be received by Sponsor’s server no later than 11:59:59 PM ET on July 4, 2010.

6. ADDITIONAL REQUIREMENTS FOR ENTRIES: Entries may not contain any personal identification information, such as license plate numbers, last names, e-mail addresses or street addresses. Apart from “SunnyD” and "Martina McBride" (the "Provided Elements"), any elements that appear in the Entry, including, without limitation, company names, logos, and images used must be entirely original, created by the entrant, or be in the public domain. Apart from the Provided Elements, use of any elements that are not original or in the public domain will result in disqualification of an Entry, in Sponsor’s sole discretion. Entries must be in English. Entries that do not include all required information and do not adhere to the foregoing and following requirements will be considered void and will not be considered in the judging of this Contest. Entries that are deemed by Sponsor in its sole discretion to be immoral, obscene, profane or not in keeping with Sponsor's image will be disqualified.

7. ENTRANT’S REPRESENTATIONS: By submitting an Entry, you represent and warrant that (a) you are the creator of the Entry, (b) the Entry is wholly original (apart from the Provided Elements), (c) the Entry is true and verifiable, (d) the Entry does not infringe the intellectual property, privacy or publicity rights or any other legal or moral rights of any third party, including any current or former employer, and does not defame any person or identify any person by name other identifying information, (e) the Entry has not previously been entered in any other contest, (f) the Entry has not been previously published in any medium, (g) the Entry does not violate any law or regulation, (h) apart from the Provided Elements, you own all rights to your Entry (including, without limitation, any copyrights contained therein), (i) you have obtained written permission from each and every person referenced in the Entry (including parental/legal guardian permission for a minor), and agree as a condition of winning to provide such written permission to Sponsor upon request, in a form satisfactory to Sponsor, and (j) you agree to waive any claim for reimbursement for any equipment or materials necessary to submit an Entry regardless of whether or not that Entry is selected for any prize. Sponsor's determination as to whether any Entry potentially violates the rights of any third party is final.

8. SPONSOR’S RIGHTS TO ENTRIES: Entries and other submitted material become the property of Sponsor and will not be acknowledged or returned. By submitting an Entry, you grant the Sponsor and its affiliated companies the unconditional and perpetual right and permission to copyright, reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit, and otherwise use the Entry (with or without using your name) in any media throughout the world for any purpose, without limitation, and without additional review, compensation, or approval from you or any other party. By submitting an Entry, you forever waive any rights of copyrights, trademark rights, patent rights, privacy rights, and any other legal or moral rights in the Entry that may preclude the Contest Parties’ use of the Entry, or require your permission for the Contest Parties to use the Entry. By submitting an Entry, you further agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against any Contest Party, or any other person, on the grounds that any use of the Entry, or any derivative works, infringe any of your rights, including, without limitation, copyrights, or moral rights. You further acknowledge that the Sponsor is in no way obligated to broadcast, publish or use your Entry in any way. Nothing herein shall constitute an employment, joint venture, or partnership relationship between you and the Sponsor. In no way are you to be construed as the agent or to be acting as the agent of the Sponsor.

9. JUDGING PROCESS: The judging process will consist of two (2) rounds of judging:

Round 1 - Monthly Judging: All eligible Entries received during a particular Monthly Entry Periods will be judged by an independent judging organization who will evaluate each Entry individually according to the following criteria (the "Judging Criteria"): (a) Originality (25%) (b) Clarity (25%), (c) Relevance to the "Shining Moment" theme (25%), and (d) Inspirational Value (25%). The ten (10) highest-scoring entries from each Monthly Entry Period will then be re-judged by Sponsor according to the Judging Criteria to determine the highest-scoring Entry from each Monthly Entry Period, each of which will be deemed a Monthly Prize Winner, pending verification of eligibility.

Round 2 - Grand Prize Judging: On or about July 15, 2010, the six (6) Monthly Prize Winning Entries will be re-judged by Sponsor and/or Martina McBride according to the Judging Criteria to determine the highest-scoring Entry, which will be deemed the Grand Prize winner, pending verification of eligibility.

In the event of a tie in Round 1 or 2, the Entry (from among the tied Entries) with the highest "Relevance to the ‘Shining Moment’ theme" score will be advanced to the next Round or be deemed a winner as applicable. The decisions of Sponsor and judges are final and binding.

10. ADDITIONAL REQUIREMENTS: Sponsor reserves the right to require potential winners to submit to a confidential background check to confirm eligibility as a condition of participation, to help ensure that the use of any such person or their Entry in advertising or publicity will not bring the Contest Parties into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Contest, as determined by Sponsor in its sole discretion. Any potential winner may be disqualified at Sponsor’s sole discretion if: (a) any required documents are not completed and returned within the required time period; (b) his/her background check is deemed unsatisfactory in Sponsor’s sole discretion; or (c) he/she fails to comply with any of the terms of these Official Rules. In the event of disqualification, the Sponsor reserves the right to award the prize to the next highest scoring applicable eligible Entry, in its sole discretion and subject to all verification and eligibility requirements of these Official Rules.

11. MONTHLY PRIZES: A total of six (6) Monthly Prizes will be made available, one for each of the six (6) Monthly Entry Periods. Each Monthly Prize will consist of a $1,000 budget for lessons, tutoring, or other educational materials/opportunities selected by winner for his/her child and subject to approval by Sponsor in its sole discretion.

12. GRAND PRIZE: One (1) Grand Prize will be made available: a 4 day/3 night trip for winner and three (3) guests to Nashville, TN to attend a performance by Martina McBride. Grand Prize consists of round trip economy air travel for winner and three (3) guests to Nashville, TN from the major gateway airport closest to winner’s residence (airports to be determined by Sponsor in its sole discretion); double occupancy hotel accommodations for three (3) nights; admission for winner and three (3) guests to a performance by Martina McBride; admission for winner and three (3) guests to a meet-and-greet event with Martina McBride; ground transportation to/from hotel and performance/meet-and-greet, select meals/activities/swag selected by Sponsor, and $10,000 awarded in the form of a check made payable to the winner. Approximate retail value ("ARV") of the Grand Prize is $17,500. Actual value will vary depending upon point of departure and other contingencies. Any difference between ARV and actual costs will not be awarded. Air carrier(s) and hotel will be selected by Sponsor in its sole discretion. Trip must be taken on dates specified by Sponsor in winner’s notification letter or prize will be forfeited in its entirety. Trip dates are currently anticipated to be during August 2010 but subject to change. Expenses not specified (including but not limited to certain meals, gratuities, and incidentals) will be winner’s sole responsibility. IMPORTANT: If any guest is under age 18 or has not yet reached the age of majority in his/her state of residence (a "Minor"), such winner/guest’s parent/legal guardian ("Parent") must also travel as one of winner’s three (3) guests. Winner and guests must travel together on the same itinerary, and will be responsible for all necessary travel authorizations and for any travel insurance as well as any travel documents required by airline. Winner or one of his/her guests must provide hotel with a major credit card issued in one of their names to cover room security and incidental expenses. Winner’s guests must complete (and if any guest is a Minor, such guest’s Parent must co-sign) a liability/publicity release prior to issuance of travel documents. If winner resides within approximately a 200-mile radius of Nashville, TN (as determined by Sponsor in its sole discretion), Sponsor reserves the right in its sole discretion to provide ground transportation (or a ground transportation allowance) in lieu of air transportation, with no compensation or substitution provided for any difference in prize value. If any element of the Grand Prize is cancelled or postponed, (including, without limitation, if circumstances beyond the control of Sponsor prevent Martina McBride from performing as scheduled or attending the meet-and-greet) the remaining portion of the Grand Prize will be awarded as complete and final and no substitute compensation will be offered.

13. ADDITIONAL PRIZE DETAILS: Potential winners will be required to complete, sign and return an Affidavit of Eligibility, Liability Release, Copyright Assignment, and, where lawful, a Publicity Release. All completed documents must be returned to Sponsor by the date specified in winner’s notification letter. Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prizes are not transferable or refundable and must be accepted as awarded. No other substitutions may be made, except by the Sponsor, who reserves the right to substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion. Winners are solely responsible for all applicable federal, state, and local taxes and for any expenses, costs or fees associated with acceptance and/or use of prizes not specified herein as being included. Sponsor reserves the right not to award any prizes, or to award fewer than the stated number of Grand and/or Monthly Prizes, if in their sole and absolute discretion they do not receive a sufficient number of eligible or qualified Entries for the Contest. Limit one Monthly Prize per Entry and per household/address. Approximate value of all prizes is $23,500.

14. GENERAL CONDITIONS: In the event that any entrant is age 18 or older (as is required for entry) but has not yet reached the age of majority in his/her state of residence, such entrant’s Parent agrees to all conditions of these Official Rules on behalf of such entrant, and further agrees to co-sign any required documents if such entrant is chosen as a potential winner. In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; (b) award prizes according to the Judging Criteria from among the eligible Entries received up to the time of the impairment; or (c) to proceed in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

15. RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Contest, entrants agree to release and hold harmless the Sponsor, Administrator, Sharon’s Rose Inc, Martina McBride, and Creative Artists Agency, the respective parent, subsidiary and related companies of each, other companies associated with the promotion and operation of the Contest, and the respective officers, directors, employees, and agents of each (the "Released Parties") from and against any claim or cause of action arising out of participation in the Contest or receipt or use/misuse of any prize, including, but not limited to: (a) unauthorized human intervention in the Contest; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors or any errors made in the advertisement of the Contest; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Contest or the processing of Entries; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt of any prize. Entrants further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Contest, and in no event shall the Released Parties be liable for attorney’s fees. Entrants waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. Without limiting the foregoing, the Contest, all prizes, and all materials provided on or through any Contest website are provided "as is" without warranty of any kind, either express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

16. INDEMNITY: You agree to indemnify and hold the Released Parties harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Released Parties due to or arising out of your Entry, or your conduct in creating a Entry or otherwise in connection with this Contest, including but not limited to: claims for trademark infringement; copyright infringement; violation of an individual’s right of publicity or right of privacy; or defamation.

17. PUBLICITY: By submitting an Entry, you grant to Sponsor and its affiliated companies the right, except where prohibited by law, to use your name, likeness, picture, address (city and state), voice, biographical information, Entry and written or oral statements, for advertising and promotional purposes in promoting or publicizing Sponsor, its affiliated companies, and the products or services of each, in any and all media without limitation as to time or territory, without compensation unless required by law. You shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based on invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, or use in composite form of your name, picture, likeness, address (city and state), biographical information, or Entry.

18. PRIVACY: Information submitted in connection with the Contest will be treated in accordance with these Official Rules and Sponsor’s Privacy Policy (as may be amended from time to time), currently located at http://www.sunnyd.com/privacy.shtml; provided, that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of these Official Rules shall prevail. By entering this Contest, you agree that Sponsor may share your personal information with the Contest Parties for the purpose of winner verification and prize fulfillment in the event that you are chosen as a potential winner.

19. DISPUTES: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Ohio. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Ohio, without giving effect to any choice of law or conflict of law rules (whether of the State of Ohio or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Ohio.
